Terms of Service

Overview

Welcome to Stoneford. The terms “we,” “us,” and “our” refer to Stoneford and its operator, David Brown Limited.

Stoneford operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you with a curated shopping experience (the “Services”).

Stoneford is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein, describe your rights and responsibilities when you access or use the Services.

Please read these Terms carefully, as they include important information about your legal rights, warranty disclaimers, and limitations of liability.

By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not access or use the Services.

Section 1 — Access and Account

By using the Services, you represent that you are at least the age of majority in your state, province, or country of residence.

To browse the store, create an account, or purchase products, you may be asked to provide information including your email address, billing details, payment details, telephone number, and shipping address.

You represent that all information you provide is correct, current, and complete and that you have the right to provide that information.

You are responsible for maintaining the security of your account credentials and for all activity carried out through your account. You may not transfer, sell, assign, or license your account to another person.

Section 2 — Our Products

We make reasonable efforts to present our products and services accurately. However, product colors, materials, dimensions, finishes, textures, packaging, and appearance may differ from how they appear on your screen because of photography, lighting, manufacturing tolerances, device type, display settings, and configuration.

We do not guarantee that the appearance, color, size, fit, performance, assembly result, installation result, or quality of a product will exactly match your expectations or appear exactly as displayed online.

Measurements and specifications are approximate unless expressly stated otherwise. Product performance and suitability may depend on the environment, setup, assembly, installation, maintenance, available utilities, surfaces, climate, and manner of use.

Product descriptions, specifications, prices, and availability may be updated without notice. We may discontinue products or limit quantities offered to any person, household, geographic region, or jurisdiction where permitted by law.

Section 3 — Orders

When you place an order, you are making an offer to purchase. Stoneford may accept, reject, limit, or cancel an order where permitted by applicable law.

An order is not accepted until payment has been successfully processed and we have confirmed acceptance.

Please review your order carefully before submitting it. We may be unable to cancel or modify an order after processing has begun.

If we reject, modify, or cancel an order, we may contact you using the email address, billing address, shipping address, or telephone number supplied with the order.

Purchases are subject to our Refund & Return Policy.

Products are intended for personal or household use unless otherwise agreed in writing. You may not purchase products for unauthorized commercial resale or export.

Section 4 — Prices, Taxes, and Billing

Prices, discounts, offers, and promotions may change without notice. The price charged will generally be the price shown when the order is submitted and confirmed, subject to correction of obvious errors where permitted by law.

Taxes, shipping charges, handling charges, customs charges, duties, and other fees may apply as displayed during checkout or as required by law.

You agree to provide current, complete, and accurate billing, payment, purchase, and account information and to update it when necessary so that we can complete transactions and contact you.

Section 5 — Shipping and Delivery

Delivery times are estimates and are not guaranteed.

We are not responsible for delays caused by shipping carriers, weather, holidays, incorrect or incomplete addresses, carrier disruptions, customs or security reviews, supply interruptions, remote delivery locations, or events outside our reasonable control.

Additional information about order processing, estimated transit times, tracking, and delivery appears in our Shipping Policy.

Risk of loss transfers as required by applicable law.

Section 6 — Intellectual Property

The Services, including trademarks, branding, text, images, graphics, reviews, video, audio, product presentations, layouts, and other content, are owned by, licensed to, or lawfully used by Stoneford, David Brown Limited, or their licensors.

You may use the Services only for personal and non-commercial purposes.

You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, scrape, store, transmit, or commercially exploit website content without prior written permission, except where permitted by law.

Stoneford names, logos, product names, designs, and slogans are trademarks or commercial identifiers of Stoneford, David Brown Limited, or their licensors. Shopify names and marks belong to Shopify.

Section 7 — Optional Third-Party Tools

We may provide access to tools or services operated by third parties that we do not monitor or control.

Such tools may be provided “as is” and “as available,” without warranties, representations, conditions, or endorsements.

Your use of optional third-party tools is at your discretion and may be governed by separate third-party terms and policies.

Section 8 — Third-Party Links

The Services may contain links to websites, services, or content operated by third parties.

We do not control or endorse third-party websites and are not responsible for their accuracy, content, security, availability, products, services, privacy practices, or terms.

Review third-party policies carefully before providing personal information or completing a transaction.

Section 9 — Relationship with Shopify

Shopify provides the ecommerce platform used to operate the Stoneford store.

Purchases made through the store are transactions directly between you and Stoneford / David Brown Limited, not Shopify.

To the extent permitted by law, Shopify is not responsible for products sold through the store, the fulfillment of orders, or disputes arising from purchases.

Section 10 — Privacy

Personal information collected through the Services is governed by our Privacy Policy and, where applicable, Shopify’s privacy documentation.

Section 11 — Reviews and Feedback

If you submit reviews, photographs, videos, ideas, suggestions, feedback, proposals, or other content, you confirm that you own or have the rights necessary to provide it.

You grant Stoneford a worldwide, non-exclusive, sublicensable, royalty-free license to use, reproduce, adapt, publish, distribute, and display that content for business, customer-service, and marketing purposes, subject to applicable law.

Submitted content must not infringe third-party rights, contain unlawful material, or mislead other customers.

Section 12 — Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions involving product descriptions, specifications, pricing, promotions, shipping charges, delivery estimates, or availability.

We may correct errors and update information at any time. Where permitted by law, we may cancel an affected order and issue a refund.

Section 13 — Prohibited Uses

You may not use the Services:

  • For unlawful, fraudulent, abusive, deceptive, malicious, or harmful purposes.
  • To violate intellectual-property, privacy, contractual, or other rights.
  • To upload or transmit malware, viruses, or harmful code.
  • To interfere with website operation, security, or access controls.
  • To scrape, crawl, reproduce, copy, or automate access without permission.
  • To collect personal information about others unlawfully.
  • To spam, phish, impersonate others, or misrepresent your identity.
  • To reproduce or exploit any part of the Services for unauthorized commercial purposes.

We may suspend or terminate access if we reasonably believe these Terms have been violated.

Section 14 — Termination

We may suspend or terminate access to the Services where permitted by law.

You remain responsible for amounts owed before termination. Provisions intended by their nature to survive termination will continue to apply, including intellectual property, liability limitations, indemnification, governing law, and privacy provisions.

Section 15 — Disclaimer of Warranties

To the fullest extent permitted by law, the Services and products are provided on an “as is” and “as available” basis unless an express warranty is stated.

We do not guarantee that the Services will always be uninterrupted, timely, secure, complete, accurate, or error-free.

Nothing in these Terms excludes consumer rights, warranties, remedies, or liabilities that cannot lawfully be excluded.

Section 16 — Limitation of Liability

To the fullest extent permitted by law, Stoneford, David Brown Limited, their affiliates, directors, officers, employees, contractors, agents, providers, licensors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This may include loss of profits, revenue, savings, data, opportunities, goodwill, or replacement costs arising from your use of the Services or products.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

Section 17 — Product Assembly, Installation, and Use

Certain products may require assembly, installation, mounting, electrical connections, water connections, ventilation, tools, suitable surfaces, compatible utilities, or professional assistance.

You are responsible for reading product instructions, checking suitability, following warnings and safety guidance, and using products only for their intended purpose.

Where professional installation or repair is recommended or required by law, you should use a suitably qualified professional.

Stoneford is not responsible for damage caused by incorrect assembly, installation, measurements, modification, misuse, unsuitable surfaces, incompatible utilities, inadequate ventilation, improper maintenance, or failure to follow instructions, except where applicable law provides otherwise.

Section 18 — Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Stoneford, David Brown Limited, Shopify, and their affiliates, officers, employees, agents, contractors, licensors, and providers from claims, losses, damages, liabilities, and reasonable legal fees arising from your unlawful use of the Services, breach of these Terms, or violation of third-party rights.

Section 19 — Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, it will be enforced to the greatest extent permitted by law, and the remaining provisions will continue in effect.

Section 20 — Waiver and Entire Agreement

Failure to enforce a provision does not waive the right to enforce it later.

These Terms and the policies posted on the website form the agreement governing your use of the Services unless separate written terms apply.

Section 21 — Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, sale, restructuring, financing, or other business transfer, or as otherwise permitted by law.

Section 22 — Governing Law

These Terms and any related agreements are governed by the laws applicable in the jurisdiction where David Brown Limited is established, without limiting mandatory consumer rights or protections available under applicable law.

Section 23 — Headings

Headings are included for convenience only and do not affect the interpretation of these Terms.

Section 24 — Changes to These Terms

We may update these Terms by posting a revised version on the website.

Continued use of the Services after an update constitutes acceptance where permitted by law. Changes will not retroactively reduce mandatory rights relating to orders already placed.
